Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you and Just-tap ("Company," "we," "our," or "us"), a Payment Systems Business licensed and regulated by the Bank of Zambia.
By accessing or using our payment services, applications, or website (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
2. Definitions
- "Merchant" means a business entity registered to accept payments through our Services.
- "User" means any individual or entity that accesses or uses our Services.
- "Transaction" means any payment processed through our Services.
- "Mobile Money" means electronic money services provided by Airtel Money, MTN Money, or Zamtel Money.
- "Settlement" means the transfer of funds from our settlement account to the Merchant's designated account.
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Be a citizen or legal resident of Zambia, or a business registered in Zambia
- Provide accurate and complete registration information
- Complete our Know Your Customer (KYC) verification process
- Not be prohibited from using payment services under applicable laws
4. Services Description
4.1 JT Merchant
Our point-of-sale solution enabling merchants to accept mobile money and card payments. Features include transaction management, reporting, and settlement services.
4.2 JT Payment Gateway
Our API-based payment integration service for online businesses and developers, enabling programmatic payment acceptance.
4.3 Software Development Services
Custom software development services subject to separate agreements and statements of work.
5. Fees and Pricing
Our current fee structure is:
- Just-tap fee: 2% of transaction value
- Mobile Network Operator (MNO) fee: Pass-through at cost
Fees are deducted from transaction amounts before settlement. We reserve the right to modify our fee structure with 30 days' prior notice. Volume-based pricing may be available for high-volume merchants.
6. Settlement
Settlement of funds is processed according to the following schedule:
- Standard settlement: T+1 (next business day)
- Same-day settlement: Available upon request (additional fees may apply)
Settlement is subject to successful transaction completion, fraud checks, and availability of funds from Mobile Network Operators. We reserve the right to delay settlement pending investigation of suspicious transactions.
7. User Obligations
You agree to:
- Provide accurate, current, and complete information
- Maintain the confidentiality of your account credentials
- Immediately notify us of any unauthorized use of your account
- Use the Services only for lawful purposes
- Comply with all applicable laws and regulations
- Not use the Services for prohibited activities (see Section 8)
- Cooperate with fraud investigations and AML/CFT compliance
8. Prohibited Activities
You may not use our Services for:
- Illegal gambling or unlicensed betting operations
- Sale of illegal drugs or controlled substances
- Money laundering or terrorist financing
- Fraudulent transactions or activities
- Sale of counterfeit goods or pirated content
- Adult content or services (unless specifically approved)
- Weapons, ammunition, or explosives
- Any activity that violates Zambian law
9. Intellectual Property
All intellectual property rights in the Services, including trademarks, logos, software, and content, belong to Just-tap or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You may not copy, modify, distribute, or reverse engineer any part of our Services without prior written consent.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We shall not be liable for indirect, incidental, special, or consequential damages
- We shall not be liable for losses caused by third parties, including MNOs or banks
- We shall not be liable for service interruptions beyond our reasonable control
11. Indemnification
You agree to indemnify and hold harmless Just-tap, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
12. Termination
Either party may terminate this agreement:
- With 30 days' written notice for convenience
- Immediately for material breach
- Immediately if required by regulatory authorities
Upon termination, we will settle any pending transactions and close your account. Provisions regarding liability, indemnification, and intellectual property shall survive termination.
13. Dispute Resolution
Any disputes arising from these Terms shall be resolved as follows:
- First, through good faith negotiation between the parties
- If unresolved, through mediation administered by a mutually agreed mediator
- If mediation fails, through arbitration under the Arbitration Act of Zambia
The seat of arbitration shall be Lusaka, Zambia, and proceedings shall be conducted in English.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Zambia.
15. Amendments
We may amend these Terms at any time by posting the revised Terms on our website. Material changes will be notified via email or in-app notification at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the amended Terms.
